Legal system

The Sociedad Estatal para la Promoción y Atracción de las Inversiones Exteriores, S.A., with trade name INVEST IN SPAIN, as stated in Heading I, article 1 of its bylaws, is a a public corporation governed by its Bylaws, the Legislation for Public Limited Companies, the Legislation on General Budgets, the Legislation on Public Administration Holdings and other legislation in force that may apply.

Article 3 of its Bylaws stipulates that the corporation's objectives are as follows:

• To capture foreign investment focusing on the countries, sectors and companies in international businesses with the greatest growth potential.
• To promote the adequate investment climate by identifying the potential needs of investors and suggesting the appropriate measures to meet them, to strengthen relations with two institutions related to foreign investment and to exercise influence over infrastructures and means to favor foreign investment.
• To provide an image of Spain as a competitive and increasingly internationalized country with the human and technological resources necessary for the globalization of economies and markets.
• To foster initiatives, either directly linked or complementary, necessary to promote and attract inward investment in Spain as well as to foment and coordinate a suitable climate for foreign investment.

According to Article 3.3 of Law 30/2007, 30 October, regarding Public Sector Contracts (henceforth, LCSP for Ley de Contratos del Sector Público), INVEST IN SPAIN is the contracting authority. As such, contracts subscribed by INVEST IN SPAIN will fall into two categories:

• Contracts subject to reconciled regulation
• Contracts not subject to reconciled regulation

Contracts subject to reconciled regulation shall be governed by article 174 of the LCSP and other precautionary measures that may apply.

Contracts not subject to reconciled regulation shall be governed in accordance with the internal contracting instructions (approved on May 2008 and updated January 1 2010), which have been designed so INVEST IN SPAIN complies with the terms stated in article 175 b) of the LCSP, which demands that the regulation for contracting processes for contracts not subject to reconciled regulation guarantees the effectiveness with regards publicity, concurrence, transparency, confidentiality, equality and non discrimination.
